Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you and BOMBALYX LTD, Private company limited by shares (England and Wales), with its registered office at 167-169 Great Portland Street, 5th Floor, London W1W 5PF, United Kingdom (“Bombalyx”, “we”, “us”). They govern your access to the Bombalyx marketplace and all related services (the “Platform”).

By creating an account, placing an order or using the Platform in any way, you accept these Terms. If you do not agree, please do not use Bombalyx.

BOMBALYX LTD operates the Bombalyx marketplace and is the official seller of record and Merchant of Record for every transaction completed on it. Independent sellers, individuals and specialist tech and gaming shops (the “Sellers”) list items on the Platform as independent third-party suppliers.

BOMBALYX LTD is the official seller and Merchant of Record for every purchase made on the Platform. In practice, when you place an order, your sales contract is concluded exclusively with BOMBALYX LTD. We are your counterparty: we present the offer, set the final price, accept your order, collect payment, collect and remit applicable taxes where legally required, and are responsible to you for the order and refunds.

Sellers are independent suppliers. They prepare and ship items and supply them to BOMBALYX LTD for sale through the Platform, but they are not party to your purchase contract and you have no separate contractual relationship with a Seller. All your buyer rights and obligations are exercised with BOMBALYX LTD.

Because we are the official seller, BOMBALYX LTD stands behind every order: questions, returns, refunds and disputes are handled by us under our Shipping and Returns Policy, without direct negotiation with Sellers.

You must be at least 18, or have consent from a parent or legal guardian, to use the Platform. You are responsible for keeping your credentials confidential and for all activity on your account. Tell us promptly if you suspect unauthorised use.

Listings are invitations to order. A binding contract is formed when BOMBALYX LTD accepts your order. The price you pay is the price shown at checkout, plus shipping fees, the Buyer Protection fee shown at checkout, and applicable taxes, in the displayed currency.

Payments are processed by our payment provider. We do not store full card numbers on our servers. If payment cannot be completed, your order will not be fulfilled. We may cancel an order and refund you if an item is listed at an incorrect price, unavailable or the order appears fraudulent.

Items are prepared and shipped by independent Sellers on behalf of BOMBALYX LTD. As official seller, BOMBALYX LTD remains responsible to you for proper fulfilment of your order. Estimated handling and delivery times, shipping fees and tracking are described in our Shipping and Returns Policy.

Returns, refunds and cancellations are governed by our Shipping and Returns Policy, which forms part of these Terms. BOMBALYX LTD processes all refunds. Under the UK Consumer Contracts Regulations 2013 — and any equivalent mandatory consumer rules that apply where you live — you have a 14-day right to cancel, starting when you receive your order. Every order is also covered by Bombalyx Buyer Protection, funded by the Buyer Protection fee shown at checkout.

If you open a shop, you act as an independent supplier of BOMBALYX LTD. You authorise BOMBALYX LTD to present and sell your items to buyers as official seller, and you are responsible for the accuracy of your listings, your right to sell each item, compliance with applicable laws, and preparing and shipping orders on time.

BOMBALYX LTD takes a 9% + €0.40 commission (or the equivalent in the order currency) on the item total of each completed sale; the commission is deducted before payout. Payouts are made via our payment provider and may be held in protected funds for a short period after sale before release. You may list only items you are legally allowed to sell. Counterfeits, recalled or dangerous products and illegal items are prohibited.

You remain the owner of photos, text and other content you upload, and you grant BOMBALYX LTD a worldwide, non-exclusive, royalty-free licence to host, display and use it to operate and promote the Platform. You are responsible for ensuring your content does not infringe anyone’s rights or violate any law.

Do not use the Platform to mislead others, avoid fees, infringe intellectual property, harass other users or break the law. We may suspend, restrict or remove accounts, shops or listings that violate these Terms or, in our reasonable judgement, present a risk.

Except for the responsibilities BOMBALYX LTD expressly assumes as official seller under these Terms and our Shipping and Returns Policy, the Platform is provided “as is” and “as available”. To the fullest extent permitted by law, BOMBALYX LTD is not liable for indirect, incidental or consequential damages, and our total liability for any claim related to an order is limited to the amount you paid for that order.

Nothing in these Terms limits mandatory consumer rights you may have under applicable consumer law, including your rights under the Consumer Rights Act 2015 that goods be of satisfactory quality, fit for purpose and as described, where those rights cannot be waived.

Sellers agree to indemnify and hold BOMBALYX LTD harmless from any claim, loss or expense arising from their listings, items, shipments or breach of these Terms.

These Terms are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction over disputes, subject to mandatory rules that allow you, as a consumer, to bring proceedings and rely on consumer protections in the courts of your country of residence. If you are unhappy with how we have handled a complaint, we may also agree to refer the dispute to a certified alternative dispute resolution (ADR) provider.

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to inform you. Continuing to use the Platform after an update means you accept the revised Terms.
